1. About These Terms

These Terms apply to your use of the Multiplex IT Solutions website and to purchases made through our online store.

The website is operated by Multiplex IT Solutions Limited, referred to in these Terms as "Multiplex IT Solutions", "we", "us" or "our".

Our website and services are primarily intended for businesses, sole traders and other professional users, although members of the public may also access the website and, where available, make purchases.

If you are a Consumer, nothing in these Terms excludes or restricts any statutory right or remedy that cannot lawfully be excluded or restricted.

2. Our Terms and Conditions of Business

The supply of our professional services, ServiceM8 consultancy, digital services, ServiceM8 Forms, document templates and other Works is also governed by our separate Terms and Conditions of Business, version T&C140826v1, or any later version expressly applicable to the relevant order or engagement.

Those Terms and Conditions of Business contain more detailed provisions relating to matters including:

  • scope of work;

  • fees and payment;

  • ServiceM8 consultancy;

  • third-party platforms;

  • ServiceM8 account access;

  • document templates;

  • ServiceM8 Forms;

  • intellectual property;

  • testing and corrections;

  • confidentiality;

  • data protection;

  • liability;

  • consumer rights; and

  • governing law.

These Website Terms supplement rather than replace our Terms and Conditions of Business.

When you purchase a ServiceM8 Form through our online store, both these Website Terms and the applicable Terms and Conditions of Business form part of the contractual arrangements relating to that purchase.

Any specific description, compatibility requirement or other expressly stated term shown for a particular product also forms part of the relevant order.

3. Using Our Website

You may use our website for lawful purposes and for accessing information about our products and services.

You must not:

  • attempt to gain unauthorised access to the website, its systems or another user's account;

  • introduce malware, malicious code or other harmful material;

  • deliberately interfere with the operation or security of the website;

  • scrape, reproduce or systematically extract website content for commercial reuse without permission;

  • impersonate another person or organisation;

  • use the website for fraudulent or unlawful purposes; or

  • use our content or intellectual property in a way that infringes our rights or those of another person.

We may restrict or suspend access where reasonably necessary to protect the website, our systems, other users or our legal rights.

4. Website Information

We take reasonable care when preparing information published on the website.

General website information is provided for information about our business and services and should not be treated as legal, tax, financial, safety, regulatory or other professional advice unless we expressly agree to provide that advice as part of a particular engagement.

Product-specific representations expressly forming part of a contract remain subject to applicable contractual and statutory requirements.

5. Availability and Changes

We do not guarantee that the website or every feature will always be available without interruption or error.

We may update, change, suspend or withdraw website content or functionality where reasonably necessary.

The website may depend upon third-party infrastructure and services, including Wix and other providers outside our direct control.

6. Third-Party Services and Links

Our website may contain links to or integrate with third-party services.

In particular, our booking facility is provided through ServiceM8. Selecting our booking option may take you from our main website to a ServiceM8-hosted booking page.

ServiceM8, Wix, payment providers and other third-party services operate their own platforms and technologies. Their availability and underlying functionality are not controlled by Multiplex IT Solutions Limited.

A link to another website or service does not by itself mean that we endorse all content or practices of that third party.

7. Member Accounts

Where Wix member functionality is available, you may be able to create an account in connection with our website.

You are responsible for:

  • providing accurate account information;

  • maintaining the confidentiality of your login credentials;

  • not allowing unauthorised use of your account; and

  • informing us promptly if you reasonably suspect that your account has been compromised.

We may suspend or close an account where reasonably necessary because of misuse, security concerns, fraud or a material breach of these Terms.

8. ServiceM8 Forms Sold Through Our Online Store

8.1 Nature of the product

ServiceM8 Forms advertised through our online store are digital products intended for use within a compatible ServiceM8 account.

After an order is received, we will normally contact the customer and arrange appropriate access to the customer's ServiceM8 account so that the purchased Form can be uploaded, installed or otherwise supplied.

The Form is therefore not necessarily supplied as an unrestricted downloadable file.

8.2 ServiceM8 requirements

The customer is responsible for maintaining:

  • an active and suitable ServiceM8 account;

  • any ServiceM8 subscription, Forms add-on or feature required to use the purchased Form;

  • appropriate administrator or other permissions;

  • a compatible account configuration; and

  • appropriate access for us where this is reasonably required for fulfilment.

ServiceM8 is a third-party service. A purchase from Multiplex IT Solutions Limited does not include a ServiceM8 subscription unless expressly stated.

8.3 Product descriptions

Before ordering, the customer should review the relevant product description and ensure that the Form is suitable for its intended use.

Any particular functionality, compatibility, included fields or other product characteristic expressly stated on the relevant product page forms part of the description of that product.

Unless expressly stated otherwise, purchasing a Form does not constitute legal, accounting, tax, health and safety, regulatory or certification advice.

The customer remains responsible for determining whether the Form and the information entered into it are appropriate for the customer's own business, legal and regulatory requirements.

9. Placing an Order

Products, descriptions and prices displayed on our website constitute an invitation to place an order.

When you submit and pay for an order through our Wix store, you are requesting that we supply the selected product on these Terms and our applicable Terms and Conditions of Business.

You should check the product, price and customer information carefully before submitting the order.

Wix will normally issue an electronic order confirmation.

If we cannot fulfil an order, have made an obvious material pricing or product-description error, or reasonably require information that cannot be obtained, we may contact you and, where appropriate, cancel the affected order and refund sums paid for anything we will not supply.

10. Prices and Payment

The price payable is the price displayed for the product when the order is placed, subject to correction of an obvious error where permitted by law.

Any applicable tax treatment will be displayed or applied as required.

We will not charge VAT unless and until VAT is properly chargeable by Multiplex IT Solutions Limited.

Payment is taken through the payment facilities provided through Wix and its payment providers.

You must use a payment method that you are authorised to use.

11. Fulfilment and ServiceM8 Access

Following an order, we may contact you using the contact details supplied at checkout to arrange fulfilment.

You authorise us to connect to or access the ServiceM8 account that you identify for the limited purpose of supplying the purchased Form and providing any agreed associated support.

Where reasonably practicable, access should be provided using ServiceM8's authorised partner, user or account-access facilities rather than by sharing personal passwords.

You are responsible for ensuring that:

  • you are authorised to grant us access to the relevant ServiceM8 account;

  • the account identified is the correct account;

  • the information you provide is complete and accurate; and

  • any necessary ServiceM8 subscription or add-on is active.

Any estimated delivery time depends upon the customer providing the information and access reasonably necessary for us to complete fulfilment.

Unless another period has been expressly agreed, we will supply purchased products within a reasonable time and within any maximum period required by applicable consumer law.

12. Licence for ServiceM8 Forms

Subject to full payment, the customer receives a non-exclusive, non-transferable, perpetual licence to use the purchased Form within the customer's designated ServiceM8 account for the customer's own business purposes.

The licence permits the customer and its authorised personnel to:

  • complete and use the Form within ordinary business workflows;

  • enter and change ordinary form data;

  • generate completed reports or certificates;

  • store, print and distribute documents produced through ordinary use of the Form; and

  • use completed outputs as part of the customer's ordinary business records and communications.

Unless we give prior written permission, the customer may not:

  • modify or adapt the underlying Form build;

  • modify its underlying architecture, logic, calculations, questions, layout or configuration;

  • reproduce the underlying Form for another business or ServiceM8 account;

  • sell, resell or commercially license the Form;

  • distribute the underlying Form build to another person;

  • permit an employee, contractor, consultant, another ServiceM8 Partner or other third party to modify the underlying Form; or

  • use the Form or its underlying components to create or supply a competing template or Form product.

Changes made through ordinary ServiceM8 fields or through normal completion and use of the Form do not constitute prohibited modification of the underlying Form.

13. Locked Forms and Technical Restrictions

Our Forms may be supplied using technical restrictions intended to prevent or limit editing of their underlying structure.

Those restrictions are intended to protect the integrity of the supplied Form and our intellectual property.

A technical restriction is not a guarantee that the Form will always remain technically impossible to access, export, copy, edit or modify.

ServiceM8 may change its platform, permissions, features or technical behaviour. A Form might therefore become technically editable or accessible because of a platform change, account permission, configuration change, export capability, technical circumstance or inadvertent omission.

Technical ability to access, copy or modify an underlying Form does not grant permission to do so and does not expand the licence given to the customer.

If you require a change to a purchased Form, please contact us. Amendments may constitute additional chargeable work unless they are required to correct a defect for which we are responsible.

14. Intellectual Property

Unless expressly agreed otherwise, all intellectual property rights in our website content, ServiceM8 Form builds, templates, reusable components, logic, layouts, workflows, methods and other proprietary material remain owned by or licensed to Multiplex IT Solutions Limited.

Purchasing a Form gives the customer the licence described in these Terms and our Terms and Conditions of Business. It does not transfer ownership of the underlying intellectual property.

ServiceM8 and its software, systems, documentation and trade marks remain the property of ServiceM8 or its licensors.

15. Testing and Suitability

The customer must appropriately test a Form before relying upon it in live business operations.

Testing should include relevant:

  • questions and fields;

  • calculations;

  • conditional logic;

  • signatures;

  • formatting;

  • generated documents;

  • unusual scenarios;

  • ServiceM8 workflows; and

  • devices on which the Form will be used.

If you believe that a Form contains a defect attributable to our build, please notify us as soon as reasonably practicable and preferably within 14 days of supply so that we can investigate.

Where a Form materially fails to conform to its agreed specification because of an error attributable to us, we will use reasonable efforts to correct the problem within a reasonable time.

This notification period does not remove any statutory right that cannot lawfully be restricted.

New features, changed requirements, redesigns or other work outside the original product specification may be chargeable separately.

16. Third-Party Platform Changes

ServiceM8 is developed and controlled by a third party.

We cannot guarantee that ServiceM8 will indefinitely retain a particular:

  • feature;

  • Forms capability;

  • field;

  • API;

  • integration;

  • permission;

  • technical restriction; or

  • other platform functionality.

If ServiceM8 changes its platform after we supply a Form and additional work is subsequently required to adapt the Form, that work is not automatically included in the original purchase unless we have expressly agreed otherwise.

17. Business Customer Cancellations and Refunds

A Business Customer does not have a statutory consumer cooling-off right merely because an order was placed online.

If a Business Customer asks to cancel before fulfilment has begun, we may agree cancellation at our discretion, taking account of any work already performed, time committed and non-recoverable costs.

Once a digital Form has been properly supplied or installed in accordance with the order, the price is not refundable merely because the Business Customer later changes its mind or decides not to use the Form.

This does not affect any contractual remedy available where we have failed to supply what was agreed.

18. Consumers and the 14-Day Cancellation Period

If you are an individual acting wholly or mainly for purposes outside your trade, business, craft or profession, you are a Consumer.

Where applicable, a Consumer entering into a distance contract for digital content which is not supplied on a tangible medium normally has a statutory 14-day cancellation period beginning after the contract is entered into.

Supply during the cancellation period

We will not intentionally begin supplying digital content during an applicable cancellation period in a way that removes the Consumer's cancellation right unless the Consumer has first:

  1. expressly requested or consented to supply beginning before the cancellation period expires; and

  2. acknowledged that the statutory right to cancel will be lost when supply of the digital content begins.

Where the required express consent and acknowledgement have been obtained, the Consumer's cancellation right may cease once we begin supplying or installing the digital content.

The following is the type of acknowledgement we may ask a Consumer to make separately at or after checkout:

"I expressly request that Multiplex IT Solutions Limited begins supplying/installing the digital content before the end of my 14-day cancellation period. I understand that once supply of the digital content begins, I will lose my statutory right to cancel."

This acknowledgement should be separate from general acceptance of our Terms.

Nothing in this Section affects a Consumer's statutory remedies if digital content is faulty, not as described or otherwise fails to meet rights that cannot lawfully be excluded.

19. How a Consumer Can Cancel Before Supply

Where a Consumer still has a statutory right to cancel, cancellation may be communicated by a clear statement sent to:

A Consumer may use the cancellation form at the end of these Terms but is not required to use that form if another clear cancellation statement is provided.

20. Privacy

Our processing of personal information is explained in our Privacy and Cookie Notice.

When we process personal data solely on the documented instructions of a business client while working within that client's ServiceM8 account, the controller and processor arrangements contained in our applicable Terms and Conditions of Business also apply.

21. Website Liability

Nothing in these Terms excludes or restricts liability for:

  • death or personal injury caused by negligence where liability cannot lawfully be excluded;

  • fraud or fraudulent misrepresentation; or

  • any other liability which cannot lawfully be excluded or restricted.

To the extent permitted by law, we are not responsible for loss caused solely by:

  • third-party services outside our reasonable control;

  • inaccurate information provided by a user or customer;

  • misuse of the website;

  • unauthorised modification of one of our digital products;

  • failure to maintain required third-party subscriptions or account functionality; or

  • use of a product for a materially different purpose from that for which it was supplied.

For Business Customers purchasing our products or services, the more detailed liability provisions contained in our applicable Terms and Conditions of Business also apply.

Nothing in this Section restricts a Consumer's statutory rights or remedies.

22. Suspension and Termination

We may suspend access to an account or decline further website-based services where reasonably necessary because of:

  • fraud or suspected fraud;

  • unlawful conduct;

  • material misuse of the website;

  • security concerns;

  • unauthorised attempts to access our systems;

  • material breach of these Terms; or

  • another reasonable legal or technical necessity.

Where appropriate, we will take reasonable steps to allow a remediable issue to be corrected.

23. Changes to These Terms

We may update these Website Terms from time to time.

The version applicable to a completed order will normally be the version made available when that order was placed.

Publishing a new version does not retrospectively alter an existing contract unless the parties agree otherwise or the law requires a change to have that effect.

24. Governing Law and Jurisdiction

These Website Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales.

For Business Customers, the courts of England and Wales have exclusive jurisdiction in relation to disputes arising from these Terms, subject to any expressly agreed alternative arrangement.

Consumers retain any mandatory jurisdictional or consumer-protection rights available to them under applicable law.
